Terms of Service
1. Acceptance
By accessing eidetic.works, downloading the Eidetic CLI/daemon (eideticd), or subscribing to Eidetic Pro, you agree to these Terms of Service. If you do not agree, do not use the service.
2. What we provide
Eidetic Works provides:
- Eidetic CLI/daemon — a local-first knowledge engram tool (free tier)
- Eidetic Pro — paid subscription that adds cross-device sync, R2 cloud backup, and priority support
The free CLI is licensed under the terms in our public repository's LICENSE file. The Pro service is governed by this agreement.
3. Eidetic Pro subscription
- Pricing — as displayed at eidetic.works/pricing at the time of purchase
- Billing — recurring monthly or annual via Stripe
- Auto-renewal — your subscription renews automatically until you cancel
- Cancellation — cancel any time from your account dashboard or by emailing hi@eidetic.works. Access continues until the end of the current billing period.
- Refunds — full refund within 14 calendar days of purchase, no questions asked. After 14 calendar days, no pro-rated refunds for unused time, but you keep access through the end of the billing period.
4. Account & license
- You are responsible for safeguarding your Pro API key. Treat it like a password.
- Pro licenses are for individual use; one paid license per user.
- You may activate up to 5 devices simultaneously. Contact us if you need more.
- We may suspend or terminate accounts for: non-payment, abuse of the service (excessive API calls, attempted exploitation), violation of these terms, or legal/regulatory requirement.
5. Acceptable use
You agree not to:
- Use Eidetic for any illegal purpose
- Attempt to reverse-engineer the Pro service infrastructure (the CLI is open-source — that's fair game)
- Resell or redistribute Pro access without written permission
- Use the service to violate others' privacy rights
- Attempt to overload, disable, or impair the service
- Use automated means to scrape eidetic.works content beyond reasonable rate
6. Intellectual property
- Our IP — the Eidetic Works brand, eidetic.works site content, and Pro-service backend infrastructure are our property. The Eidetic CLI is licensed under the terms in the public repo.
- Your IP — you retain full ownership of all engrams you create. We have no rights to your engram content. Pro backup stores your encrypted content; the encryption key is yours.
- Feedback you give us — if you share product suggestions, we may use them without obligation. Anonymized customer interview themes may appear in our public research.
7. Privacy
Our handling of personal data is governed by our Privacy Policy.
Where personal data of EU/UK customers is transferred to our sub-processors outside the EEA/UK, those transfers are governed by Standard Contractual Clauses (EU 2021/914 and the UK International Data Transfer Addendum) executed between us and each sub-processor. See our Privacy Policy and our Sub-processor List for details. Your acceptance of these Terms is not itself an SCC execution.
8. Disclaimers
- The service is provided "as is" without warranties of any kind, express or implied
- We do not warrant that the service will be uninterrupted, error-free, or meet your specific requirements
- We do not warrant that engram backups will be available without loss, though we follow industry-standard practices and use Cloudflare R2's documented durability
- Backup discipline is your responsibility. Pro cloud sync is convenience, not replacement for your own local backup
9. Limitation of liability
To the maximum extent permitted by applicable law:
- Our total liability for any claim is capped at the amount you paid us in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not liable for data loss beyond reasonable industry standards
- Nothing in this section limits liability for fraud, gross negligence, or any liability that cannot lawfully be excluded
For India: these limitations do not affect your statutory rights under the Consumer Protection Act 2019 or the Indian Contract Act 1872.
For EU consumers: these limitations do not affect your statutory rights under EU/national consumer law.
10. Indemnification
If you are a business customer, you agree to indemnify and hold us harmless from third-party claims arising out of your violation of these Terms or your misuse of the service. This indemnity does not apply to consumers (as defined under the Indian Consumer Protection Act 2019 or equivalent EU/UK consumer protection law).
We will indemnify you against third-party claims that our service infringes their intellectual property rights, subject to prompt notice and our control of the defense.
11. Service changes
We may modify, suspend, or discontinue any part of the service. For material changes affecting Pro subscribers, we will provide at least 30 days' notice via email.
12. Governing law and disputes
- Governing law: India (Indian Contract Act 1872, Consumer Protection Act 2019, Information Technology Act 2000, and Digital Personal Data Protection Act 2023 as applicable).
- Jurisdiction: courts of competent jurisdiction in India (per Indian Code of Civil Procedure 1908 §20, plaintiff may file at the place of the defendant's residence or where the cause of action arises).
- Alternative dispute resolution: we encourage you to email hi@eidetic.works first. Most disputes resolve without formal proceedings. Indian consumers retain their right to approach consumer fora under the Consumer Protection Act 2019. For commercial disputes between business parties exceeding ₹5,00,000, either party may refer the dispute to arbitration under the Arbitration and Conciliation Act 1996, seat at Mumbai, conducted in English by a sole arbitrator appointed by mutual agreement, failing which by the Bombay High Court.
- EU consumer note: under Article 18 of Regulation (EU) 1215/2012, you may also bring claims in the courts of your EU member state of residence.
13. Changes to these terms
We may update these terms. Material changes will be emailed to Pro subscribers at least 30 days before taking effect. Continuing to use the service after the effective date constitutes acceptance.
14. Entire agreement
These Terms, together with our Privacy Policy and any order confirmation, constitute the entire agreement between you and Eidetic Works regarding the service.
15. Severability
If any provision is found unenforceable, the remaining provisions remain in full force.

Postal address for legal notices. Eidetic Works operates as an Indian micro-enterprise at pre-launch scale. We maintain a registered postal address for the receipt of formal legal notices under DPDP §5(2), GDPR Art 13(1)(a), and equivalent provisions. To request the current address, please email legal@eidetic.works. We will respond within 7 business days. By using this service, you agree that this email-mediated address-request mechanism satisfies any notice-address requirement applicable to pre-launch operations of this size; once we reach commercial scale (first 100 paid customers or first enterprise contract), we will publish a permanent address.
