1. Acceptance of Terms
By accessing the Eidetic Works website at eidetic.works ("Site") or purchasing any digital product ("Services") from us, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Site or Services.
2. Eligibility
You must be at least 18 years old to use the Site or purchase Services. By using the Site, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.
3. Services
Eidetic Works publishes digital products, including written guides and patterns for AI-augmented developer workflows. Services are sold and delivered through third-party platforms (currently Gumroad). Use of those platforms is also governed by their respective terms.
4. Payment, Delivery, and Refunds
All prices are in US dollars unless stated otherwise. Payments are processed by third-party providers (Gumroad, Stripe). We do not store payment card information. Digital products are delivered electronically upon successful payment.
All sales are final. Due to the nature of digital products, we do not offer refunds. If you experience a delivery issue, contact us at hello@nucleusos.dev within 7 days of purchase and we will make reasonable efforts to resolve it.
5. Intellectual Property
All content on the Site and in our digital products (text, code samples, layouts, designs, trademarks) is owned by Eidetic Works or its licensors and is protected by US and international copyright law. Purchasing a digital product grants you a non-exclusive, non-transferable license to use the product for your personal or internal business purposes. You may not resell, redistribute, sublicense, or publicly republish the product without prior written permission.
6. Prohibited Uses
You agree not to:
- Use the Services for any unlawful purpose
- Reverse engineer, decompile, or attempt to extract source code from the Services where not expressly permitted
- Use the Services to advertise or offer to sell goods and services to others
- Sell, transfer, or sublicense your access or any digital product you have purchased
- Interfere with or disrupt the Site, including by uploading viruses or malicious code
- Collect or harvest personal data of other users
7. Third-Party Links and Services
The Site may contain links to third-party websites or services that are not owned or controlled by Eidetic Works. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.
8. Disclaimer of Warranties
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that defects will be corrected. Information in our digital products is for general guidance only and does not constitute professional, legal, financial, or other expert advice.
9. Limitation of Liability
To the maximum extent permitted by law, in no event shall Eidetic Works be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site or Services. Our total aggregate liability for any claim related to the Services shall not exceed the lesser of (a) the amount you paid us for the specific product giving rise to the claim, or (b) USD 100.
10. Indemnification
You agree to defend, indemnify, and hold harmless Eidetic Works from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or your breach of these Terms.
11. Termination
We may suspend or terminate your access to the Site at any time, without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
12. Dispute Resolution
The parties will first attempt to resolve any dispute informally for at least 30 days before resorting to formal proceedings. If informal resolution fails, any unresolved dispute shall be settled by binding arbitration administered by a recognized arbitration body in accordance with its rules then in effect, conducted in English. You and Eidetic Works agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class action.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. The exclusive jurisdiction for any non-arbitrable matter shall be the state and federal courts located in Delaware.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be communicated by posting the updated Terms on the Site. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
